These Terms of Use ("Terms") govern your access to and use of natusprime.com and any apps, platforms, digital products and services offered by Natus Prime LLC, a Wyoming limited liability company ("Natus Prime," "we," "us" or "our"), collectively the "Services." By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.
2. Our Services
Natus Prime develops and distributes digital wellness apps, SaaS platforms and digital tools. Our content is provided for informational and educational purposes. We may update, modify, suspend or discontinue any part of the Services at any time.
3. No Medical Advice
The Services are not a medical device and do not provide medical advice, diagnosis or treatment. Nothing in the Services is intended to diagnose, treat, cure or prevent any disease. Always consult a qualified healthcare professional before starting any diet, exercise or wellness program or changing any medication. Never disregard professional medical advice because of something you read or saw in the Services. Statements made in the Services have not been evaluated by the Food and Drug Administration. Individual results vary.
4. Accounts
Some features require an account. You agree to provide accurate information, keep your login credentials confidential and notify us promptly of any unauthorized use. You are responsible for all activity that occurs under your account.
5. Purchases, Billing and Subscriptions
Prices are shown before checkout and are charged in U.S. dollars unless otherwise stated. Payments are processed by third-party payment processors such as Stripe; we do not store your full card details. If you purchase a subscription, it renews automatically at the end of each billing period at the then-current price until you cancel, and you authorize us to charge your payment method for each renewal. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy.
6. Intellectual Property
All content, software, designs, trademarks and other materials in the Services are owned by Natus Prime or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable and revocable license to use the Services for your own non-commercial purposes. You may not copy, reproduce, distribute, resell, modify or create derivative works without our prior written consent.
7. Acceptable Use
You agree not to use the Services for any unlawful purpose; share your account or paid content with others; attempt to gain unauthorized access to our systems; scrape, copy or harvest content by automated means; or interfere with the operation or security of the Services.
8. Third-Party Services
The Services may link to or rely on third-party websites and services, including payment processors and hosting providers. We are not responsible for the content, policies or practices of third parties, and your use of them is subject to their own terms.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR THAT ANY SPECIFIC RESULT WILL BE ACHIEVED.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NATUS PRIME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
11. Indemnification
You agree to indemnify and hold harmless Natus Prime and its members, officers, employees and agents from any claims, losses and expenses, including reasonable attorneys' fees, arising from your use of the Services or your violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, except that either party may bring an individual claim in small claims court where it qualifies.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above shows when they were last revised. Your continued use of the Services after changes take effect means you accept the updated Terms.
